Definition of "Eligible Inventory" in the Radio Shack Credit Agreement $RSH

From the CREDIT AGREEMENT Dated as of December 10, 2013,

1.15 Eligible Inventory. All of the Inventory owned by each Credit Party and properly reflected as “Eligible Inventory” in the most recent Borrowing Base Certificate delivered by the Borrower to Agent shall be “Eligible Inventory” for purposes of this Agreement, except any Inventory to which any of the exclusionary criteria set forth below or in the component definitions herein applies. Agent shall have the right to establish, modify, or eliminate Reserves against Eligible Inventory from time to time in its Permitted Discretion.

Also:

'Permitted Discretion' means a determination made in good faith and in the exercise of reasonable judgment.
